Terms of Service
These Terms of Service govern the use of the TTopVibes LLC website and the services of the artist entry desk. TTopVibes LLC is a computer integrated systems design practice located at 2306 W Monarch Dr, Farmington - 84025-0019, United States (US). By using this site, sending a submission or engaging the desk, a person agrees to the terms set out below. Anyone who does not accept these terms should not use the site or the desk services.
1. Agreement to These Terms
These Terms of Service form a binding agreement between the person using the site or the desk services and TTopVibes LLC. The agreement covers the website pages, the submission ticket process, the six working stages described on the services page and every later communication connected to a ticket.
By opening a ticket, sending a message through the contact form, sending an email to entry@ttopvibes.lat or calling +17407645873 in connection with a submission, a person confirms that they have read these terms and that they accept them. Where a person is acting for a band, a collective or a company, that person confirms that they have the authority to bind the group.
These terms are supported by the Privacy Policy published on this site, which explains how personal information is handled. Where a separate written agreement signed by TTopVibes LLC covers a specific engagement, that agreement takes priority over these terms for that engagement, and these terms continue to apply to everything the agreement does not cover.
2. Description of the Services
The desk provides six working services for finished independent recordings. They are a Demo Submission Desk, Playlist Pitch Rounds, Release Logistics Nights, Cover Art Reviews, Metadata Cleanups and Release Week Checklists. Each service is a defined stage with an input, a set of checks and a written output, and the service page describes what each stage includes.
The desk is a preparation and coordination service. It is not a recording studio, a mixing or mastering house, a distributor, a record label, a publisher, a booking agency or a royalty administrator. Where a release needs one of those functions, the artist keeps the relevant account or contract in their own name and the desk works alongside it with written permission.
We may add, change or retire a service as the desk develops. A change does not affect a ticket that is already open and has a confirmed scope unless the artist agrees to the change in writing. Any new service will be described on the services page before it is offered to a new ticket.
Nothing on this site is a promise of a particular outcome. The site describes a working method, and the actual result for a given recording depends on the material, the timing and decisions made by partners outside our control.
3. Eligibility and Authority
The desk is intended for adults and for professional or semi professional artists. A person under the age of eighteen may only engage the desk through a parent or legal guardian who accepts these terms on their behalf and who confirms that authority on the ticket.
By opening a ticket, a person confirms that the recording submitted is either their own work or work that they are authorised to share. A person who submits a recording containing material owned by another party, such as a sample, a cover song or an instrumental, confirms that the necessary permission has been obtained and that evidence of that permission can be provided on request.
Where a recording involves several contributors, the person opening the ticket confirms that each contributor has been told about the submission and has agreed to the release plan at the point that plan is confirmed. The desk may ask for a written confirmation from a contributor before a delivery step proceeds.
4. Submission Tickets
A submission ticket is the working record for an engagement. It is opened after an enquiry has been reviewed, and it carries the project name, the contact person, the services requested, the intended release date and the written notes from each stage. The ticket number is the reference used in all later correspondence.
The desk may cap the number of open tickets at any time. When the cap is reached, a new enquiry is answered with a written note and the next intake window, and no fee is taken. A ticket that is accepted enters the queue in the order in which the required files are complete, not in the order in which a message first arrived.
An artist may request a change to the scope of an open ticket. The desk will confirm whether the change is possible, what it means for the timeline and whether the fee changes. A scope change is only effective once it is recorded in writing on the ticket and accepted by both sides.
A ticket is closed when the agreed services have been delivered and the final checklist has been filed, or when either side ends the engagement under these terms. A closed ticket remains part of the desk record under the retention rules described in the Privacy Policy.
5. Fees and Payment
Fees are quoted in writing before a ticket is opened and are stated in United States dollars unless another currency is agreed in writing. The quote describes the services included, the number of pitch rounds or review passes that are included, and the date by which the work is expected to finish.
Unless the quote states otherwise, half of the fee is payable when the ticket is opened and the balance when the release week checklist is issued. A payment schedule for a longer engagement may be set out in the quote or in a separate written agreement.
Invoices are payable within fourteen days of the invoice date. A late payment may attract a service charge as stated on the invoice, and the desk may pause work on a ticket while an invoice is overdue, after giving written notice to the artist.
Fees do not include third party costs such as distribution fees, print costs, travel costs for a physical handover or the cost of a separate illustrator or legal adviser. Where a third party cost is expected, the desk will identify it and, unless the artist prefers to pay the provider directly, will list it as a separate line on the quote.
6. Obligations of the Artist
The artist is responsible for supplying accurate and complete information on the ticket, for keeping private listening links active for the period of the engagement and for confirming the release date before the pitch rounds begin. A link that expires during a round can waste a scheduled slot, and a date change after rounds have been sent may require new material.
The artist is responsible for the ownership and licensing position of the recording, the artwork and the metadata that is supplied. The desk relies on the information the artist provides, and it cannot verify a copyright chain or a publishing split that has not been disclosed.
The artist is responsible for keeping their own backups of every master file, artwork file and document. The desk keeps working copies under the retention period described in the Privacy Policy, but those copies are not a backup service and must not be treated as one.
The artist agrees to respond to a reasonable request for confirmation during a stage, normally within three working days. A stage that cannot proceed because a confirmation is missing will be paused, and the pause may move a release date if the delay is long enough to affect the delivery schedule.
7. Obligations of the Desk
The desk agrees to carry out each service with reasonable skill and care, following the working method described on the services page. It agrees to keep the ticket current, to record each decision with a date and a name, and to tell the artist promptly if a stage is at risk.
The desk agrees to protect the confidentiality of unreleased material and to limit access to the staff members who are assigned to the ticket. It agrees to inform the artist of any confirmed partner that will receive the material as part of an agreed stage.
The desk agrees to give a written reason whenever a submission is returned or a stage is not passed. A returned submission is not held in the queue, and any material supplied with it is handled under the retention rules in the Privacy Policy.
The desk agrees to answer messages during business hours, which are Monday to Thursday from nine in the morning to six in the evening and Friday from nine in the morning to four in the afternoon, United States Mountain Time. Messages received outside those hours are answered on the next working day.
8. Ownership of Recordings and Artwork
The artist retains all ownership of the master recordings, the underlying compositions, the lyric sheets and the original artwork supplied to the desk. Nothing in these terms transfers ownership of that material to TTopVibes LLC, and the desk claims no share of the copyright or of any royalty that arises from the work.
The desk keeps ownership of its own working documents, including the checklist templates, the metadata source structure, the review notes and the internal reference material that it has developed. Where a document built by the desk is handed to the artist at the end of an engagement, the artist may use and adapt that copy for their own future releases.
Where the desk commissions or arranges artwork or another deliverable from a third party at the request of the artist, the ownership of that deliverable is governed by the terms agreed with the third party and by the written brief that the artist approved. The desk will pass those terms to the artist before the work begins.
9. Limited Licence to Operate
The artist grants the desk a limited, non exclusive, revocable licence to use the supplied recordings, artwork and metadata for the purpose of carrying out the services requested on the ticket. The licence covers the preparation of pitch material, the upload or correction of a delivery, the review of artwork and the production of the release week checklist.
The licence does not allow the desk to sell, sublicense, publicly perform or commercially release the material on its own account. It does not allow the desk to use the recording in a portfolio, a showreel or a marketing page without a separate written permission from the artist.
The licence ends when the ticket is closed, or earlier if the artist withdraws it in writing. A withdrawal does not undo an action that has already been carried out with the earlier permission, such as a pitch pack that was sent to an editor before the withdrawal was received.
Where a pitch round requires a listening link to remain active after a ticket closes, the desk will keep the link live only for the period the artist approves, and it will close the link when that period ends.
10. Third Party Platforms and Partners
The desk works with distribution platforms, playlist editors and programme curators that operate under their own terms and their own timelines. The desk does not control their decisions, their review periods or their technical requirements, and it cannot guarantee that a partner will accept a delivery on the first attempt.
Where a platform changes a requirement during an engagement, the desk will inform the artist and adjust the work where it can. A change that makes the original plan impossible may require a revised scope, and the desk will set out the options before any additional fee is proposed.
A partner that receives material from the desk may keep its own record of the submission. The desk is not responsible for the way a partner stores or uses that record, and the partner privacy policy applies to its own handling.
11. No Guarantee of Placement or Performance
The desk does not promise, and must not be understood to promise, a playlist placement, a radio play, a chart position, a streaming count, a follower increase or any other commercial result. Pitch rounds are a preparation and follow up service, and the decision always belongs to the receiving editor or curator.
Any figure or example mentioned in conversation, on the site or in a note is illustrative. It describes what has happened for a different project at a different time, and it is not a forecast for the recording on the ticket.
A ticket found to be using purchased streams, purchased playlist placements or other artificial engagement as part of its pitch material may be closed without a refund, because such activity damages the standing of the desk with every editor it works with.
12. Acceptable Use
A person using the site or the desk agrees not to submit material that infringes the rights of another party, that contains unlawful content, that is intended to deceive a platform or that is designed to interfere with the operation of the desk.
A person agrees not to use the contact form or the desk email address to send bulk advertising, to distribute malicious software or to attempt to gain access to a system or a folder that is not assigned to them. Automated scraping of the site is not permitted where it places an unreasonable load on the hosting service.
The desk may remove a message, close a ticket or block an address where there is clear evidence of a breach of this section. Where a ticket is closed for a breach, the desk will record the reason and, where the law allows, notify the artist before the closure takes effect.
13. Confidentiality
Both sides agree to keep confidential the material and the information that is not already public. For the artist this covers the pricing and the internal notes on the ticket. For the desk this covers the unreleased recording, the artwork, the metadata source document and any release plan that has not been announced.
The duty of confidentiality does not apply to information that is already lawfully public, that was known before the engagement began, that is independently developed without reference to the confidential material, or that must be disclosed under a legal obligation or a court order.
Where disclosure is required by law, the party under the obligation will give the other party as much notice as the law allows so that a protective step can be considered. The duty continues after the ticket is closed for as long as the information remains confidential.
14. Declined and Returned Submissions
The desk may decline a submission at intake or at any later stage. Common reasons are a recording that is not finished, a file set that is incomplete, a release date that cannot be supported, a scope that the desk cannot deliver, or a request that falls outside the services described on the site.
A declined submission receives a written reason. Where the reason can be addressed, the note will say what would need to change before a later submission could be considered. A decline is not a judgement on the quality of the artist work beyond the fit for this desk.
No fee is charged for a submission that is declined at intake. Where a fee has already been paid and the ticket is declined before any service has been delivered, the fee is returned in full.
15. Cancellation and Withdrawal
An artist may withdraw from an engagement at any time by writing to the desk. The withdrawal takes effect when the written notice is received. The artist remains responsible for any fee that is due for work already completed, and for any third party cost that the desk has already committed on the artist behalf with written approval.
Where a withdrawal happens before the first pitch round is sent, the desk will return any unused portion of the fee less the cost of the intake and first review, which is shown in the quote. Where the withdrawal happens after rounds have been sent, the pitch work is treated as delivered.
The desk may cancel an engagement where a ticket cannot be completed because of a missing confirmation, a breach of the acceptable use section or a legal obstacle. In that case the desk will give a written notice and a reasonable chance to resolve the issue before the cancellation takes effect.
16. Refunds and Credits
Fees are earned as each stage is completed, and a refund is calculated against the stages that have not yet begun. A request for a refund is reviewed against the ticket record, which shows exactly which stages were delivered and when.
Where a stage has been delivered but does not meet the standard described on the services page, the desk will first offer to redo the stage at no additional cost. If a further attempt still does not meet the standard, a credit is issued for that stage.
Refunds are made to the same payment method that was used for the original payment, unless a different method is agreed in writing. A refund is processed within fourteen days of the agreement being confirmed.
No refund is given for a release date that is missed because a partner changed its own schedule, provided the desk delivered its work in line with the ticket and the quote.
17. Delays and Force Majeure
The desk will make reasonable efforts to meet every date on a ticket. A date may move where a necessary confirmation or file has not arrived, where a partner changes a requirement, or where an event outside reasonable control makes the work impossible.
Such events include a natural disaster, a severe weather event, a widespread network outage, a failure of a hosting or email provider, a public health emergency, a labor dispute or an action by a public authority. The desk will notify the artist as soon as the event is known and will propose a revised timeline.
A delay caused by one side does not excuse that side from the rest of the agreement. Where a delay lasts longer than thirty days, either side may end the affected part of the engagement under the cancellation section.
18. Disclaimers
The website is provided on an as available basis. The desk works to keep the pages accurate and reachable, but it does not warrant that the site will be free of interruption or of a minor error at all times.
Service descriptions on the site are a summary of the working method. The precise scope of an engagement is the scope stated in the written quote and on the ticket, and the summary on the site does not expand that scope.
Information on the site is general in nature and is not legal, tax, accounting or financial advice. An artist who needs advice on a contract, a publishing split or a tax position should consult a qualified professional in the relevant field.
19. Limitation of Liability
To the extent permitted by law, TTopVibes LLC is not liable for an indirect, incidental, special or consequential loss that arises from the use of the site or the desk services. This includes a loss of profit, a loss of opportunity, a loss of goodwill or a loss of a planned release date that follows from a partner decision.
The total liability of TTopVibes LLC for a claim connected to an engagement is limited to the fee paid for the services that gave rise to the claim. Where no fee has been paid, the total liability is limited to one hundred United States dollars.
Nothing in these terms excludes liability that cannot be excluded by law, including liability for fraud or for a wilful breach. Where a limitation is found to be unenforceable, the remaining terms continue in force.
The desk is not liable for a loss that follows from a file the artist supplied in a damaged form, from a backup the artist did not keep, or from a third party platform decision that the desk could not reasonably influence.
20. Indemnity
The artist agrees to indemnify TTopVibes LLC against a claim, a loss or a cost that arises from a breach by the artist of the ownership and licensing section, the acceptable use section or the confidentiality section of these terms. This includes a claim from a contributor, a sample owner or a rights holder who was not disclosed on the ticket.
The desk agrees to indemnify the artist against a claim that arises from use by the desk of a recording or an artwork outside the limited licence granted in these terms, where that use was not authorised. The indemnity covers the reasonable legal cost of defending the claim, provided the desk is told promptly and is allowed to take part in the defence.
A party seeking an indemnity must give the other party written notice as soon as the claim is known, must not admit liability without consent and must take reasonable steps to reduce the loss. An indemnity does not apply to the extent that the loss was caused by the party seeking it.
21. Termination
Either side may end an engagement in writing. The ending takes effect on the date the notice is received or on a later date stated in the notice. Where a ticket is ended, the desk will close the working folder and return or destroy physical media under the retention rules in the Privacy Policy.
The desk may end an engagement immediately where there is a serious breach of these terms, where material has been submitted that the artist is not entitled to share, or where continuing the work would require the desk to act unlawfully.
On termination, the artist keeps ownership of every file supplied. The desk will provide a copy of the metadata source document and the filed checklist, where those have already been produced, and will make a reasonable effort to close any open pitch round with a written note.
Terms that by their nature should survive termination, including the confidentiality, ownership, indemnity, liability and governing law sections, continue to apply after the engagement has ended.
22. Governing Law and Disputes
These terms are governed by the laws of the State of Utah, United States, without regard to its conflict of law rules. The parties submit to the exclusive jurisdiction of the state and federal courts sitting in Utah for a claim that cannot be resolved by discussion.
Before starting a formal claim, a party should send a written notice to the other party describing the issue and the outcome that is sought. The parties agree to try in good faith to resolve the matter within thirty days of that notice, using a call or a written exchange as appropriate.
Where a dispute is resolved under this section, the prevailing party may recover reasonable legal costs where the law allows. Nothing here prevents either party from seeking urgent relief from a court where that is necessary to protect confidential material.
23. Site Intellectual Property
The text, layout, styling and working documents on this site belong to TTopVibes LLC, except where a third party owns a linked asset. A visitor may read, print or share a page for personal and professional reference, and may quote a short passage with a clear credit and a link to the source page.
A visitor may not copy a substantial part of the site into another website, reuse the page design as a template for a commercial product, or present the text as their own. A request for a broader use can be sent to entry@ttopvibes.lat and will be considered in good faith.
The names TTopVibes and TTopVibes LLC, together with the desk service names used on this site, are identifiers of the business. Nothing in these terms grants a right to use those identifiers in a way that suggests endorsement or partnership without written permission.
24. General Provisions
These terms, together with the Privacy Policy and any written quote or agreement, form the entire understanding between the parties for the subject matter covered. Earlier discussions do not add to or vary that understanding unless they are recorded in writing and accepted by both sides.
If a provision is found to be invalid or unenforceable, it is limited to the minimum extent necessary and the remaining provisions continue in force. A failure to enforce a provision on one occasion is not a waiver of the right to enforce it later.
A party may not transfer its rights under these terms without the written consent of the other party, except to a successor in connection with a restructuring of the business. Any notice required by these terms must be in writing and sent to the email address on the ticket or to the desk address below.
A heading used in these terms is for convenience only and does not affect the interpretation of the section that follows it. A reference to a working day means a day other than a Saturday, a Sunday or a public holiday in Utah.
